Welcome to NTL of NYC. These Terms of Service (“Terms”) govern your access to and use of the NTL of NYC website (the “Website”) and any services provided by NTL of NYC (“NTL,” “we,” “us,” or “our”). NTL of NYC is a global creative digital agency providing services including, but not limited to, web design, development, search engine optimization (SEO), digital marketing, managed hosting, strategic consulting, and e-commerce solutions (collectively, the “Services”).

Detailed scope of work, fees, and specific service level agreements (SLAs) for any engagement will be governed by a separate, mutually executed agreement or Statement of Work (SOW) between NTL of NYC and the client.

3. User Obligations and Conduct

By using the Website, you agree not to:

• Use the Website for any unlawful purpose or in violation of any international, federal, state, or local laws.
• Engage in any conduct that restricts or inhibits anyone’s use or enjoyment of the Website.

4. Intellectual Property Rights

• **Client Work:** Upon final payment as defined in a SOW, the client retains intellectual property rights for the specific deliverable (e.g., website code, final designs). NTL retains the right to use the work for promotional purposes and retains rights to its underlying proprietary methodologies, libraries, and tools.
• **Website Content:** You may not copy, reproduce, distribute, or create derivative works from the Website content without explicit written permission from NTL of NYC.

5. Disclaimers and Limitation of Liability

The Website and all content are provided on an “as is” and “as available” basis. NTL of NYC makes no warranties, expressed or implied, regarding the accuracy, completeness, or reliability of any content on the Website.

To the fullest extent permitted by applicable law, NTL of NYC and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of the Website; (ii) any conduct or content of any third party on the Website; (iii) unauthorized access, use, or alteration of your transmissions or content.

Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in New York County, New York, and the parties hereby consent to the personal jurisdiction and venue therein.
